For Users / Business Partners and Vendors / Sellers of Johar Bazzar

Effective Date: 13 May 2026

These Terms & Conditions (“Terms”) govern the access and use of the ecommerce platform operated by Johar Bazzar, a platform operated by Rimil & Poina Private Limited (“Company”, “Platform”, “we”, “our”, or “us”).

By accessing, registering, browsing, listing products, purchasing products, or participating in the Business Partner Program on Johar Bazzar, you agree to comply with and be legally bound by these Terms, the Privacy Policy, Return & Refund Policy, Shipping Policy, Seller Policy, and all applicable Indian laws and regulations.

PART A – GENERAL TERMS

1. Legal Compliance

Johar Bazzar operates in accordance with applicable Indian laws including but not limited to:

  • Consumer Protection Act, 2019
  • Consumer Protection (E-Commerce) Rules, 2020
  • Information Technology Act, 2000
  • Indian Contract Act, 1872
  • GST Laws and Rules
  • RBI Guidelines and Payment Aggregator norms
  • Legal Metrology Act & Packaged Commodity Rules
  • Data protection and cyber laws applicable in India
  • Any other applicable central, state, or local laws

2. Definitions

“User”

A person who registers on Johar Bazzar and purchases products for personal use and has selected “No” for the option “Want to become Business Partner” during registration.

“Business Partner”

A registered user who selected “Yes” for “Want to become Business Partner” during registration and participates in the business partner program subject to eligibility conditions defined by Johar Bazzar.

“Vendor” / “Seller”

An individual, company, manufacturer, distributor, or business entity listing and selling products through Johar Bazzar.

“Customer”

Any User or Business Partner purchasing products from the platform.

“Platform”

The ecommerce marketplace operated under the brand Johar Bazzar.

“Logistics Partner”

Blue Dart Express Limited, or any other logistics provider integrated by the platform.

“Payment Partner”

Razorpay Software Private Limited and RazorpayX.

PART B – TERMS FOR USERS & BUSINESS PARTNERS

3. Eligibility

  1. Users and Business Partners must:
    • Be legally competent under Indian law;
    • Provide true, accurate, and updated information;
    • Maintain confidentiality of account credentials.
  2. Johar Bazzar reserves the right to suspend or terminate accounts providing false, misleading, fraudulent, or incomplete information.

4. Account Registration

  1. Users may register either as:
    • Regular User; or
    • Business Partner.
  2. A Business Partner registration becomes eligible for benefits only after:
    • Successful verification by Johar Bazzar;
    • Submission of valid bank/payment details;
    • Addition of active users/business partners under their referral/downline structure;
    • Compliance with applicable laws and platform policies.
  3. Johar Bazzar reserves absolute discretion to approve, reject, suspend, or terminate Business Partner participation.

5. Purchases and Payments

  1. Customers shall make payments using approved payment methods integrated through Razorpay.
  2. Payments may include:
    • Product price;
    • Applicable GST;
    • Shipping charges;
    • Any government levies or taxes.
  3. Johar Bazzar shall issue order confirmations electronically.
  4. The platform reserves the right to:
    • Cancel suspicious transactions;
    • Hold transactions for verification;
    • Refuse service in cases of fraud, abuse, or policy violations.

6. Business Partner Profit Sharing

  1. Eligible Business Partners may receive up to twenty-five percent (25%) of distributable profit generated by Johar Bazzar from eligible business activities as determined solely by the Company.
  2. Profit sharing:
    • Is not salary, employment income, investment return, security, or guaranteed earning;
    • Is conditional upon actual business generation and compliance;
    • May vary depending upon platform profitability, refunds, operational expenses, taxes, disputes, reversals, or policy changes.
  3. Payments to Business Partners shall:
    • Be processed through RazorpayX;
    • Be credited within seven (7) working days after completion of the applicable product return/refund period.
  4. Johar Bazzar reserves the right to:
    • Hold or reverse payouts in cases of fraud, suspicious activity, excessive returns, fake referrals, policy abuse, or legal obligations;
    • Modify the Business Partner program structure at any time.
  5. Business Partners shall be solely responsible for:
    • Income tax obligations;
    • GST compliance wherever applicable;
    • Accurate bank details;
    • Compliance with RBI and financial regulations.
  6. The Business Partner model shall not be construed as:
    • Multi-Level Marketing prohibited under law;
    • Ponzi scheme;
    • Investment scheme;
    • Deposit-taking activity.

Participation is strictly linked to genuine ecommerce business activity and sale of products through the platform.

7. Returns, Refunds & Cancellations

  1. Customers may request returns or refunds subject to the platform’s Return & Refund Policy.
  2. Refund eligibility may depend on:
    • Product category;
    • Product condition;
    • Seller policy;
    • Delivery verification.
  3. Refunds shall generally be processed through the original payment method.
  4. Johar Bazzar may reject fraudulent, abusive, or repeated return claims.

8. User Conduct

Users and Business Partners shall not:

  • Use the platform for unlawful purposes;
  • Upload false or misleading information;
  • Abuse promotions or referral systems;
  • Violate intellectual property rights;
  • Engage in fraud, money laundering, fake orders, or payment abuse;
  • Attempt unauthorized access to platform systems.

Violation may lead to:

  • Immediate suspension;
  • Legal proceedings;
  • Financial recovery actions.

PART C – TERMS FOR VENDORS / SELLERS

9. Seller Eligibility

  1. Sellers must:
    • Be legally authorized to sell products in India;
    • Possess valid GST registration where applicable;
    • Maintain required licenses, registrations, and tax compliances.
  2. Sellers shall provide:
    • Accurate business information;
    • Bank account details;
    • PAN/GST details where applicable;
    • Product compliance documentation when requested.

10. Product Listing Obligations

Sellers shall ensure that:

  1. Products listed are:
    • Genuine and lawful;
    • Non-prohibited;
    • Accurately described;
    • Properly priced;
    • Compliant with Legal Metrology Rules.
  2. Listings include:
    • Product name;
    • MRP;
    • Net quantity;
    • Country of origin where applicable;
    • Manufacturer/importer details;
    • Expiry details where applicable;
    • Warranty information where applicable.
  3. Sellers shall not list:
    • Counterfeit products;
    • Illegal goods;
    • Restricted products prohibited under Indian law;
    • Hazardous or banned substances.

Johar Bazzar reserves the right to remove any listing without prior notice.

11. Seller Payments & Settlement

  1. Customers make payments to Johar Bazzar through Razorpay.
  2. Seller payouts shall be processed via RazorpayX within seven (7) working days after completion of the applicable return/refund period.
  3. Johar Bazzar currently does not charge:
    • Commission;
    • Registration fees;
    • Platform fees;
    • Hidden charges.
  4. However, Johar Bazzar reserves the right to introduce or modify commercial terms in future with prior notice.
  5. Sellers are responsible for:
    • GST liabilities;
    • Invoice generation;
    • Tax compliance;
    • Product warranty obligations;
    • After-sales support.

12. Shipping & Logistics

  1. Logistics services may be facilitated through Blue Dart Express Limited or other logistics providers.
  2. Sellers shall:
    • Pack products securely;
    • Dispatch orders within committed timelines;
    • Comply with shipping guidelines.
  3. Delivery timelines are estimates and may vary due to:
    • Weather;
    • Operational disruptions;
    • Government restrictions;
    • Force majeure events.
  4. Johar Bazzar is not liable for delays caused by third-party logistics providers.

13. Seller Responsibilities

Sellers agree to:

  • Honor confirmed orders;
  • Maintain inventory accuracy;
  • Avoid fake pricing or misleading discounts;
  • Respond to customer grievances promptly;
  • Maintain product quality standards.

Repeated violations may result in:

  • Listing removal;
  • Account suspension;
  • Financial penalties;
  • Permanent termination.

PART D – PROFIT SHARING WITH ORGANIZATION

14. Social Contribution

Johar Bazzar may allocate five percent (5%) of distributable profits to Raji Parha Sarna Prarthna Sabha subject to internal financial assessment and operational policies.

Such contributions:

  • Are voluntary business allocations by Johar Bazzar;
  • Shall generally be processed within seven (7) working days after completion of return periods;
  • Do not create any enforceable right for users, sellers, or third parties.

PART E – PAYMENT & RBI COMPLIANCE

15. Payment Processing

  1. All payment transactions are processed through regulated payment intermediaries.
  2. Johar Bazzar does not store full card or sensitive banking credentials.
  3. Users authorize Johar Bazzar and its payment partners to process transactions and payouts.
  4. Transactions may be monitored for:
    • Fraud prevention;
    • AML compliance;
    • RBI compliance;
    • Cybersecurity purposes.

PART F – INTELLECTUAL PROPERTY

16. Intellectual Property Rights

  1. All platform content including:
    • Logos;
    • Brand names;
    • Software;
    • Designs;
    • Text;
    • Graphics;
    • Trademarks
    remain the exclusive property of Johar Bazzar or respective lawful owners.
  2. Unauthorized use is prohibited.

PART G – DISCLAIMERS & LIMITATION OF LIABILITY

17. Disclaimer

  1. Johar Bazzar operates as an intermediary ecommerce platform.
  2. Product warranties, quality, specifications, and legality are primarily the responsibility of respective sellers.
  3. Johar Bazzar does not guarantee:
    • Continuous uninterrupted access;
    • Error-free operations;
    • Exact delivery timelines.

18. Limitation of Liability

To the maximum extent permitted under law, Johar Bazzar shall not be liable for:

  • Indirect damages;
  • Consequential losses;
  • Loss of profits;
  • Business interruption;
  • Third-party actions;
  • Logistics delays;
  • Payment gateway failures.

Platform liability, if any, shall generally not exceed the value of the concerned transaction.

PART H – TERMINATION

19. Suspension & Termination

Johar Bazzar may suspend or terminate accounts without prior notice for:

  • Fraud;
  • Misrepresentation;
  • Policy violations;
  • Legal non-compliance;
  • Abuse of platform systems.

The Company may withhold payouts during investigations.

PART I – GOVERNING LAW & DISPUTE RESOLUTION

20. Governing Law

These Terms shall be governed by the laws of India.

Courts having jurisdiction at Kolkata, West Bengal shall have exclusive jurisdiction.

21. Dispute Resolution

  1. Parties shall first attempt amicable resolution.
  2. Unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.
  3. Arbitration venue shall be Kolkata, West Bengal.
  4. Proceedings shall be conducted in English.

PART J – MISCELLANEOUS

22. Force Majeure

Johar Bazzar shall not be liable for failures caused by events beyond reasonable control including:

  • Natural disasters;
  • Internet failures;
  • Cyber-attacks;
  • Government restrictions;
  • Pandemic situations;
  • Logistics disruptions.

23. Modification of Terms

Johar Bazzar reserves the right to modify these Terms at any time.

Updated Terms shall become effective upon publication on the platform.

Continued use constitutes acceptance of revised Terms.
